Terms of Service

Last updated: 2026-09-13

1. Introduction

Welcome to Gradiora (“Service”), a language learning platform developed and operated by Vaylent Inc. (“we,” “us,” or “our”). Gradiora uses various AI models and technologies, including but not limited to OpenAI, Deepseek, and Gemini to provide automated responses to user queries and facilitate interactive discussions.

By accessing or using Gradiora's services, you agree to comply with and be bound by these Terms of Service (“Terms”).

If you do not agree with any part of these Terms, you must not access or use Gradiora.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service.

By using the Service, you represent that you meet this requirement and that you have the capacity to enter into this Agreement.

3. Account Registration and Security

Certain features may require you to create an account. You agree to provide accurate, current, and complete information and to update it as necessary.

You are responsible for maintaining the security of your account information. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Changes to the Service or Terms

We may modify, suspend, or discontinue all or part of the Service at any time without liability.

We reserve the right to revise this Agreement. When we do, we will update the "Last updated" date above. Continued use after the changes become effective constitutes acceptance.

5. User Content and Conduct

You may post, upload, or otherwise make available text, images, videos, software, or other materials (collectively, “User Content”). You retain ownership of your User Content, but grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works, publish, perform, display, and distribute your User Content in connection with the Service.

You agree not to:

We reserve the right (but are not obligated) to remove User Content or suspend accounts that violate this Agreement.

6. Intellectual Property Rights

The Service and all materials provided by us—including but not limited to text, graphics, logos, icons, and software—are owned or licensed by Company and are protected by intellectual‑property laws. Except as expressly permitted, you may not copy, modify, reproduce, distribute, or create derivative works based on any part of the Service without prior written consent.

7. Privacy

Your use of Gradiora is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using Gradiora, you consent to all actions taken by us concerning your information in compliance with our Privacy Policy.

8. Third‑Party Links and Integrations

The Service may contain links to third-party websites or integrate with third-party services. We do not control or endorse them and are not responsible for their content, privacy practices, or terms.

9. Payments, Subscriptions, and Refunds

Gradiora subscriptions are purchased in the iOS app through the Apple App Store and billed to your Apple Account. This marketing website does not sell subscriptions or process payments. RevenueCat helps us manage subscription status and access to paid features.

Subscriptions renew automatically unless canceled before renewal. The app and Apple’s purchase confirmation show the price, billing period, and applicable subscription terms before you subscribe. Plans include a limited allowance of practice time; the app shows the included time and renewal details. Practice time is not unlimited, and an annual billing period does not mean the entire year’s practice allowance is available at once.

You can manage or cancel your subscription in Settings → your name → Subscriptions on your iPhone. Cancellation stops future renewals; access ordinarily continues until the current paid period ends, subject to any refund or applicable Apple terms. Deleting Gradiora or deleting your Gradiora account does not cancel your subscription. See Apple’s cancellation instructions.

For purchases billed by Apple, request a refund through reportaproblem.apple.com. Apple determines refund eligibility under its policies and applicable law. Gradiora does not offer a separate 30-day money-back guarantee for App Store purchases. Nothing in these Terms limits any mandatory consumer rights, including refund rights that apply in your country or region. See Apple’s refund guidance.

The app is licensed by Vaylent Inc. and is also subject to Apple’s Standard End User License Agreement.

10. Disclaimers

No Warranty. The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Service will be uninterrupted, error‑free, or secure.

Beta Features. Any beta or preview features are provided without support and may be discontinued at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Company will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. In no event will our aggregate liability exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim or (b) one hundred US dollars (USD $100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Company, its affiliates, directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from:

13. Governing Law

These Terms and your use of Gradiora will be governed by and construed in accordance with the laws of the jurisdiction where Vaylent Inc. is incorporated, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms will be resolved exclusively in the courts located in that jurisdiction, unless otherwise required by applicable law.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates this Agreement or is otherwise harmful. Upon termination, all licenses granted to you will immediately cease.

15. Miscellaneous

Entire Agreement. This Agreement constitutes the entire agreement between you and Company regarding the Service and supersedes prior agreements.

Severability. If any provision is found unenforceable, the remaining provisions will remain in full force.

Assignment. You may not assign this Agreement without our prior written consent. We may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets.

No Waiver. Our failure to enforce any right or provision will not be deemed a waiver of such right.
